Terms of Service

1. Agreement to Terms

By accessing or using the Artifactly platform, website, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these Terms. Artifactly is a B2B SaaS platform; the Service is intended solely for commercial and business use by professional resellers and corporate entities.

2. Service License & Permitted Use

Subject to your compliance with these Terms and payment of all applicable fees, Artifactly grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations. You shall not: (i) sublicense, resell, or distribute the Service; (ii) reverse engineer or attempt to derive the source code; (iii) use the Service to build a competitive product; or (iv) bypass any technical limitations or security measures.

3. Marketplace Integrations & Synchronization Risks

Artifactly facilitates communication with third-party marketplaces (e.g., eBay, Shopify, Etsy, etc.) via their respective APIs. You acknowledge and agree that:

Artifactly is not an agent of any third-party marketplace and has no control over their policies, uptime, or account suspension decisions.
Limitation of Liability for Sync Failures: Artifactly shall NOT be liable for any lost sales, over-sold inventory, fee discrepancies, or data corruption resulting from API interruptions, network latency, or synchronization errors between our platform and your marketplace accounts.
You are responsible for maintaining the validity of your marketplace credentials and complying with all third-party platform terms.

4. AI Tools & Content Liability Waiver

The Service includes Artificial Intelligence (AI) features that generate product titles, descriptions, pricing suggestions, and social media content. Artifactly provides AI-generated content on an "AS IS" basis without any warranties of accuracy or fitness for purpose.

USER ACKNOWLEDGMENT:

You assume 100% responsibility for reviewing and verifying all AI-generated content for accuracy, legality, and trademark compliance.
Artifactly is NOT responsible for AI "hallucinations," misrepresentation of item provenance, condition report errors, or copyright infringements caused by AI generation.
Publishing AI-generated content to a marketplace without manual verification constitutes a breach of your duty of care as a Merchant.

5. Fees, Subscriptions, & Cancellation

Every plan starts with a 14-day free trial. Subscription payments are processed securely by Stripe. We do not store your card details. You can cancel at any time from Settings in the app.

Subscription fees are billed in advance on a recurring monthly or annual basis. Failure to pay fees will result in immediate suspension of account access and synchronization services. We reserve the right to modify our pricing with 30 days' notice.

6. Refund Policy

Artifactly offers a 14-day money-back guarantee from the date of your initial subscription purchase. If you are not satisfied with the Service within this period, you may request a full refund by contacting us at support@artifactlystudio.com.

After the 14-day period, all fees are non-refundable, including partial months of service, unused subscription time, or downgrade credits. No refunds will be issued for:

Account suspensions or terminations resulting from violations of these Terms.
Service interruptions caused by third-party marketplace API outages or changes beyond Artifactly's control.
Failure to cancel your subscription before the next billing cycle. You may cancel at any time, and your access will continue until the end of the current billing period.

Annual subscriptions are eligible for a pro-rated refund only within the first 14 days. After this period, no partial refunds will be issued for the remainder of the annual term.

7. Intellectual Property & Data Ownership

Artifactly owns all rights, title, and interest in the Service, including the proprietary "Inventory Matrix," "Content Engine," and underlying software. You retain ownership of your original product data and images; however, you grant Artifactly a worldwide, royalty-free license to use, host, and display your data solely for the purpose of providing and improving the Service.

8. Indemnification & Limitation of Liability

You agree to indemnify and hold harmless Artifactly Studio from any claims, damages, or losses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of third-party marketplace policies.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTIFACTLY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10. Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we deem harmful to the Service or other users.

11. Third-Party Marketplace API Compliance

Artifactly Studio integrates with third-party marketplace APIs (including but not limited to Etsy, eBay, Shopify, and others) to provide cross-listing and inventory synchronisation services. In connection with these integrations, you acknowledge and agree to the following:

Data Freshness: Artifactly will not display marketplace listing content that is more than six (6) hours older than the corresponding information on the originating marketplace, or any other marketplace content that is more than twenty-four (24) hours old. Cached data will not be retained longer than is reasonably necessary to provide the Service.
Data Breach Notification: In the event of any compromise or suspected compromise of marketplace member data accessed via any marketplace API ("Data Breach"), Artifactly will promptly notify the affected marketplace and the affected seller within twenty-four (24) hours of discovery of the Data Breach.
Marketplace Terms: Your use of Artifactly in connection with any third-party marketplace is subject to that marketplace's own terms of service and API terms. It is your responsibility to ensure compliance with all applicable marketplace policies.
API Access Scope: Artifactly requests only the minimum amount of data necessary from each marketplace API to provide the intended cross-listing and inventory management services.

12. Etsy API: Warranty Disclaimer

DISCLAIMER: THIS APPLICATION IS SOLELY PROVIDED BY ARTIFACTLY STUDIO (THE "APPLICATION DEVELOPER"). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc. Artifactly Studio is an independent software platform and is solely responsible for the provision of this Service, including all fees, invoicing, taxes, and support.

13. Trademarks & Affiliation Disclaimer

Artifactly Studio is an independent software platform. We are not affiliated with, endorsed by, or certified by any third-party marketplace or platform. The term "Etsy" is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy, Inc. "eBay" is a trademark of eBay Inc. "Shopify" is a trademark of Shopify Inc. "Meta", "Facebook", and "Instagram" are trademarks of Meta Platforms, Inc. "TikTok" is a trademark of ByteDance Ltd. "Pinterest" is a trademark of Pinterest, Inc. All other product names, logos, and brands are the property of their respective owners.
